Cryptocurrency exchange Gemini officially filed a public S-1 registration statement with the SEC, signaling its intention to proceed with an initial public offering (IPO). This follows an earlier confidential filing made two months prior, highlighting Gemini's readiness to enter the public markets. Founded in 2014 by Bitcoin investor twins Tyler and Cameron Winklevoss, Gemini aims to list on the Nasdaq Global Select Market under the ticker symbol GEMI. However, specifics such as the number of shares for sale, pricing range, and exact IPO timeline remain undisclosed.

Leading the offering are major financial institutions Goldman Sachs, Citigroup, Morgan Stanley, and Cantor, supported by co-managers Academy Securities and AmeriVet Securities. The Gemini IPO announcement comes on the heels of recent successful crypto market debuts, including USDC stablecoin issuer Circle, which experienced a dramatic surge in share price shortly after its offering, and Bullish, an institutional-focused crypto exchange that saw its shares more than double on the first trading day.

Other crypto firms like OKX, Grayscale, and Kraken have also indicated plans to go public, while established crypto-focused companies such as Coinbase and Strategy have been breaking records recently. This wave of crypto IPO activity coincides with an improved regulatory landscape under the current administration. Since January, the SEC has stepped back from numerous lawsuits against crypto entities, and President Trump recently signed the GENIUS Act, legislation aimed at regulating stablecoins — marking a notable shift toward a more supportive environment for crypto innovation and public market participation.
